第117A章第2條 釋義
在本規(guī)例中，除文意另有所指外─“規(guī)章”(rules)就認(rèn)可交易所而言，其涵義與本條例第19(16)條中該詞的涵義相同；(2002年第5號(hào)第407(2)條)
“售賣(mài)或購(gòu)買(mǎi)”(saleorpurchase)包括以有值代價(jià)而進(jìn)行的任何產(chǎn)權(quán)處置或取得(分配除外)及包括交換及任何交易，而與該交易有關(guān)的文書(shū)是被本條例第30(3)、(4)或(5)條當(dāng)作為售賣(mài)轉(zhuǎn)讓文書(shū)者，而凡有提述“售賣(mài)”(sale)或“購(gòu)買(mǎi)”(purchase)之處，均須據(jù)此解釋?zhuān)?br/> “期權(quán)合約”(optionscontract)的涵義與該詞在認(rèn)可交易所的規(guī)章中的涵義相同；(2002年第5號(hào)第407(2)條)
“期權(quán)莊家”(optionsmarketmaker)指已獲認(rèn)可交易所根據(jù)其規(guī)章授予執(zhí)照以提供期權(quán)合約開(kāi)價(jià)盤(pán)的交易所參與者。(2000年第12號(hào)第23條；2002年第5號(hào)第407(2)條)

第117A章第3條 證券經(jīng)銷(xiāo)業(yè)務(wù)
以下交易或買(mǎi)賣(mài)構(gòu)成就本條例而言的證券經(jīng)銷(xiāo)業(yè)務(wù)─
(a)由期權(quán)莊家透過(guò)認(rèn)可證券市場(chǎng)售賣(mài)或購(gòu)買(mǎi)香港證券，而該項(xiàng)售賣(mài)或購(gòu)買(mǎi)是直接依據(jù)該期權(quán)莊家對(duì)其所訂立的期權(quán)合約交易所作的對(duì)安排而進(jìn)行的；
(b)由期權(quán)莊家在日常作為期權(quán)市場(chǎng)的期權(quán)莊家的過(guò)程中，透過(guò)認(rèn)可證券市場(chǎng)售賣(mài)或購(gòu)買(mǎi)香港證券，而該項(xiàng)售賣(mài)或購(gòu)買(mǎi)是由該期權(quán)莊家所訂立的期權(quán)合約交易直接產(chǎn)生的。

InthisRegulation,unlessthecontextotherwiserequires-
"optionscontract"(期權(quán)合約)hasthesamemeaningasintherulesofarecognizedexchangecompany;(5of2002s.407)
"optionsmarketmaker"(期權(quán)莊家)meansanexchangeparticipanttowhomarecognizedexchangecompanyhasgrantedapermitunderitsrulestomakeamarketinoptionscontracts;(12of2000s.23;5of2002s.407)
"rules"(規(guī)章),inrelationtoarecognizedexchangecompany,hasthesamemeaningasinsection19(16)oftheOrdinance;(5of2002s.407)
"saleorpurchase"(售賣(mài)或購(gòu)買(mǎi))includesanydisposaloracquisition(otherthananallotment)forvaluableconsideration,andexchange,andanytransactioninrespectofwhichaninstrumentisdeemedbysection30(3),(4)or(5)oftheOrdinancetobeatransferbywayofsale,andanyreferenceto"sale"(售賣(mài))or"purchase"(購(gòu)買(mǎi))isconstruedaccordingly.

ThefollowingtransactionsordealingsconstitutejobbingbusinessforthepurposesoftheOrdinance-
(a)thesaleorpurchaseofHongKongstockbyanoptionsmarketmakerthrougharecognizedstockmarketwherethesaleorpurchaseisdirectlypursuanttothehedgingofatransactioninanoptionscontractenteredintobythatoptionsmarketmaker;
(b)thesaleorpurchaseofHongKongstockbyanoptionsmarketmakerthrougharecognizedstockmarketintheordinarycourseofactingasanoptionsmarketmakerintheoptionsmarketwherethesaleorpurchasedirectlyarisesoutofatransactioninanoptionscontractenteredintobythatoptionsmarketmaker.
